Enhanced Group Acquires 77% Stake in Live Entertainment Firm DEAG

The deal combines sports properties and live entertainment businesses to create a broader entertainment platform

Enhanced Group, a sports, entertainment and performance products company, has entered into definitive exchange agreements with certain shareholders of DEAG Deutsche Entertainment AG (DEAG) to acquire an approximately 77% controlling interest in the Berlin-headquartered live entertainment and ticketing platform.

Why it matters:

  • Enhanced says the transaction transforms it into a sports and live entertainment powerhouse, bringing together two complementary businesses in what it describes as a “major strategic milestone.”

  • Enhanced’s owned sports properties include the Enhanced Games and Enhanced Breakers Series, alongside its Live Enhanced telehealth businesses.

  • It says these operations will be complemented by DEAG’s live event offering across festivals, concerts and touring, spoken word and other live experiences, as well as its promoter network, production capabilities, venue relationships, and proprietary ticketing infrastructure.

  • Enhanced believes the acquisition positions it to capitalize on growing demand for real-world, shared experiences as AI technology gives people more time back.

  • DEAG operates across Europe and has a growing presence in the US.

Deal terms:

  • Under the all-stock transaction, participating DEAG shareholders will receive approximately 11 million newly issued Enhanced Class A common shares, at an exchange ratio of one Enhanced share for every 1.7 DEAG shares. No cash consideration is involved.

  • Enhanced is issuing the consideration shares at $8 each, representing an approximately 13% premium to its previous trading day’s closing price of $7.11.

  • This values 100% of DEAG’s equity at approximately $115 million, with an implied enterprise value of approximately $139 million.

  • The combined group is expected to generate approximately $670 million in revenue and $26 million in adjusted EBITDA in 2027, representing 21.5% revenue growth and an approximately $65.5 million improvement in adjusted EBITDA year over year.

Executive structure:

  • DEAG will continue to operate under its existing management team, led by incoming CEO Markus Breitenecker, who joins from ProSiebenSat.1 Media SE, where he was Chief Operating Officer.

What they said:

  • Maximilian Martin, Co-Founder and Chief Executive Officer of Enhanced: “A live game, a concert, a record broken in front of a crowd – all those moments create goosebumps and become more valuable as everything else becomes digitally abundant. We believe the winners will be the companies that own the content, the stage and the ticket. With DEAG, Enhanced will have all three: owned sports and live IP, a broad promoter and venue network, and proprietary ticketing. And we believe we are acquiring it at a very attractive valuation.”
